1. Agreement to Terms

Welcome to GrowDodo. These Terms of Service ("Terms") govern your access to and use of the GrowDodo website, services, and applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and GrowDodo ("we," "us," or "our"). You represent that you are at least 16 years of age and have the legal capacity to enter into this agreement. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Intellectual Property Rights

Our Content

The Services and their original content, features, and functionality are owned by GrowDodo and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material on our Services, or distribute or otherwise use the Services in any way for any public or commercial purpose without our express prior written permission.

Trademarks

The GrowDodo name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of GrowDodo or its affiliates or licensors. You may not use such marks without our prior written permission.

License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for personal, non-commercial purposes.

3. User Accounts

Account Creation

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

Account Security

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use passwords that are strong and unique to your GrowDodo account.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Account Types

We offer different types of accounts for individual donors and nonprofit organizations. Each account type may have specific terms, conditions, and features that will be presented to you during the registration process.

4. Donations and Payments

Processing of Donations

GrowDodo facilitates donations between donors and registered nonprofit organizations ("NGOs"). When you make a donation through our platform, you are directly donating to the selected NGO.

We utilize third-party payment processors to handle financial transactions. Your use of these payment services is subject to the terms and conditions of those third-party providers.

Platform Fees

GrowDodo charges a small platform fee for each donation to cover operational costs. This fee will be clearly disclosed before you complete your donation. You may choose to cover this fee as part of your donation.

Tax Deductibility

GrowDodo does not guarantee that donations will be tax-deductible. The tax-deductible status of a donation depends on the NGO's status and the laws of your jurisdiction. We recommend consulting with a tax professional for specific advice.

Refunds

Generally, donations are non-refundable. In exceptional circumstances, refunds may be considered on a case-by-case basis. Please contact us if you believe your donation was made in error or if you have concerns about how your donation is being used.

5. Acceptable Use

You agree not to use the Services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
• To impersonate or attempt to impersonate GrowDodo, a GrowDodo employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm GrowDodo or users of the Services
• To interfere with the proper working of the Services
• To attempt to circumvent any security measures implemented on the Services

Additionally, you agree not to:

• Use the Services in any manner that could disable, overburden, damage, or impair the site
• Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose
• Use any manual process to monitor or copy any material on the Services
• Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious code

6. User Contributions

Our Services may contain message boards, forums, bulletin boards, and other interactive features that allow users to post, submit, publish, display, or transmit content or materials ("User Contributions").

All User Contributions must comply with the content standards set out in these Terms. You are fully responsible for any User Contributions you make, including its legality, reliability, accuracy, and appropriateness.

By providing User Contributions, you grant us and our affiliates a perpetual, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the Services.

Content Standards

User Contributions must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable
• Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property rights
• Violate the legal rights of others or contain any material that could give rise to civil or criminal liability
• Be likely to deceive or mislead any person
• Promote illegal activity or advocate, promote, or assist any unlawful act
• Impersonate any person, or misrepresent your identity or affiliation with any person or organization
• Involve commercial activities or sales without our prior written consent

7. Monitoring and Enforcement

We have the right to:

• Remove or refuse to post any User Contributions for any reason
• Take any action with respect to User Contributions that we deem necessary or appropriate
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights
• Take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of the Services
• Terminate or suspend your access to all or part of the Services for any violation of these Terms

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Services.

8. Third-Party Websites

The Services may contain links to third-party websites or services that are not owned or controlled by GrowDodo. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that GrowDodo shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. GROWDODO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will meet your specific requirements
• The Services will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of the Services will be accurate or reliable
• The quality of any products, services, information, or other material purchased or obtained by you through the Services will meet your expectations
• Any errors in the Services will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GROWDODO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROWDODO ASSUMES NO LIABILITY OR RESPONSIBILITY FOR:

• Any errors, mistakes, or inaccuracies of content
• Personal injury or property damage resulting from your access to and use of the Services
• Any unauthorized access to or use of our secure servers and/or any and all personal information stored therein
• Any interruption or cessation of transmission to or from the Services
• Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through the Services

11. Indemnification

You agree to defend, indemnify, and hold harmless GrowDodo, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services
• Your User Contributions
• Your violation of any third party's rights

12. Term and Termination

The Terms shall remain in full force and effect while you use the Services or maintain an account with us.

We reserve the right to, at our sole discretion, suspend or terminate your account and refuse any and all current or future use of the Services, for any reason at any time. Upon termination of your account, your right to use the Services will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of Mauritius, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

15. Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the Mauritius International Arbitration Centre, which rules are deemed to be incorporated by reference into this clause.

The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be Port Louis, Mauritius. The language to be used in the arbitral proceedings shall be English.

Before commencing arbitration proceedings, you agree to first try to resolve any dispute informally by contacting us. If a dispute is not resolved within 30 days of submission, you may commence arbitration proceedings.
